Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tade reservation platform, including our website, our customer-facing reservation pages, and our applications for restaurant staff (together, the "Services"). By creating an account, subscribing, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Tade ("Tade," "we," "us," or "our") provides reservation and waitlist management tools to restaurants. These Terms apply both to restaurant operators who subscribe to Tade and to guests who use a restaurant's reservation page.
Tade is operated by Taehyung Kim (a sole proprietorship operating as "Tade"), based in Vancouver, British Columbia, Canada. You can reach us at admin@thetade.com.
1. The Service
Tade lets restaurants manage reservations and waitlists, and lets their guests book or join a waitlist without creating an account. We may add, change, or remove features at any time. We provide software only; the restaurant — not Tade — is responsible for honoring reservations, seating, and the dining experience.
2. Accounts
To use Tade as a restaurant operator, you must create an account and provide accurate, current information. You are responsible for safeguarding your login credentials and for all activity under your account. You must be at least the age of majority in your province or territory and authorized to act on behalf of the business you register. Notify us promptly of any unauthorized use of your account.
3. Free Trial
We may offer a free trial for new restaurant accounts. The trial begins after email verification and provides access to the Services, including Plus-plan features, without requiring payment information up front. We will notify you before the trial ends. If you do not provide payment information by the end of the trial, your account and reservation page may be suspended, though you can still sign in to reactivate.
4. Subscriptions, Billing, and Refunds
- Plans and pricing. Tade is offered on a subscription basis, with different plans (such as reservations only, or reservations plus waitlist and SMS). Current plans, features, and prices are shown at sign-up and on our website, and may change over time. Material price changes will be communicated in advance.
- Billing cycle. Subscriptions are billed monthly or annually, as selected, and renew automatically until cancelled.
- Payment. Payments are processed by our third-party payment processor. You authorize us to charge your chosen payment method for all fees, including applicable taxes.
- Plan changes. Upgrades take effect immediately and may be prorated; downgrades take effect at the next billing cycle.
- Failed payments. If a payment fails, we may provide a short grace period and retry. If payment remains unresolved, access to the Services may be suspended.
- Cancellation and refunds. You may cancel at any time; your subscription remains active until the end of the current billing period. Fees already paid are non-refundable except where required by law.
5. Your Responsibilities as a Restaurant
If you use Tade to manage reservations, you are responsible for:
- The accuracy of the information you enter, such as hours, availability, and policies.
- Your handling of guest information, in accordance with applicable law and our Privacy Policy.
- Obtaining any consents required to contact your guests, including consent to send SMS messages where you enable them.
- Honoring the reservations and policies you communicate to your guests.
6. Guests
Guests may use a restaurant's Tade page to make or manage reservations and waitlist entries. Availability, cancellation, no-show, and similar policies are set by the restaurant, not by Tade. Any dispute about a booking or a visit is between the guest and the restaurant.
7. Text Messages and Communications
Where a restaurant enables SMS, Tade sends transactional text messages on the restaurant's behalf — waitlist status alerts, and reservation messages for bookings that a restaurant's staff create and for which the guest's consent was recorded. Guests who book online themselves are notified by email, not SMS. Message and data rates may apply. You can opt out at any time by replying STOP, and reply HELP for assistance. 8. Acceptable Use
You agree not to misuse the Services. For example, you will not:
- Use the Services for any unlawful purpose, or to send unsolicited or unlawful messages.
- Attempt to gain unauthorized access to the Services, other accounts, or our systems.
- Interfere with or disrupt the Services, or probe or test their vulnerability.
- Copy, resell, or commercially exploit the Services except as expressly permitted.
- Upload content that infringes others' rights or that you do not have the right to provide.
9. Intellectual Property
The Services, including all software, design, and content we provide, are owned by Tade or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You retain your own data and content, and you grant us the rights needed to operate and provide the Services to you.
10. Third-Party Services
The Services rely on third-party providers, such as payment, email, SMS, and hosting providers. Your use of those features may also be subject to the third party's terms, and we are not responsible for third-party services we do not control.
11. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
12. Limitation of Liability
To the fullest extent permitted by law, Tade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
If you are a restaurant operator, you agree to indemnify and hold harmless Tade from claims, losses, and expenses arising out of your use of the Services, your content or data, your handling of guest information, or your breach of these Terms.
14. Term and Termination
These Terms apply while you use the Services. You may stop using the Services and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Services in a way that may cause harm or legal risk. On termination, your right to use the Services ends; certain provisions — such as those on intellectual property, disclaimers, limitation of liability, and indemnification — survive. How we handle data after termination is described in our Privacy Policy.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect means you accept the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in British Columbia will have jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to that jurisdiction, except where applicable law requires otherwise.
